Cielo Clash Terms of Service

These terms are an agreement between you and Cielo Hermosa, LLC ("we", "us"), the publisher of Cielo Clash. By creating an account or using Cielo Clash, you agree to them. If you use Cielo Clash for an agency or company, you agree on its behalf.

1. The service

Cielo Clash helps agencies run TikTok LIVE battle tournaments: rules, brackets, scoring, referee review and share links. Features may change over time.

2. Not affiliated with TikTok

Cielo Clash is an independent product. It is not affiliated with, endorsed by or sponsored by TikTok or ByteDance. Battle data is read from public LIVE rooms through an unofficial connection that TikTok can change or block at any time. See the TikTok Disclaimer.

3. Accounts

You must give a working email address and keep access to it secure, since sign-in codes go there. You are responsible for activity under your account and for the roles you give others. You must be at least 18.

5. Scores and referee decisions

Scores come from TikTok's live data and can be late, missing or wrong (for example if a connection drops or TikTok changes its systems). Cielo Clash gives referees tools to review and override results. Final tournament results, prizes and disputes are the responsibility of the agency running the tournament, not Cielo Hermosa, LLC.

6. Your content

You keep ownership of the data you enter. You give us permission to host, process and display it only to provide the service (including on share links you create). You confirm you have the right to share it.

7. Plans and payments

Cielo Clash offers a free plan and paid plans (currently a one-time Tournament credit, a monthly Agency plan and monthly Creator Seats). What each plan includes is shown on the billing page when you buy. Payments are processed by Stripe, and you also agree to Stripe's terms when you pay. Subscriptions renew automatically each month until you cancel. Cancelling stops the next renewal, and you keep access until the end of the period you paid for. Refunds are covered by our Refund Policy. Prices may change with 30 days' notice to existing subscribers. Applicable taxes may be added.

8. Availability

We aim to keep Cielo Clash running, but we don't guarantee it will be uninterrupted or error-free. That especially applies to anything that depends on TikTok or other third parties. We may suspend accounts that break these terms.

9. Disclaimers

CIELO CLASH IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF SCORES AND NON-INFRINGEMENT, TO THE EXTENT THE LAW ALLOWS.

10. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, CIELO HERMOSA, LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, PRIZES OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US$100.

11. Indemnity

You agree to cover our reasonable costs from claims arising from your tournaments, prizes, content or breach of these terms.

12. Ending

You can stop using Cielo Clash and close your account at any time. We may end or suspend access for breach of these terms, or if we discontinue the service. If we discontinue it, we will give 30 days' notice and a way to export your data.

13. Governing law

These terms are governed by the laws of the State of Colorado, USA. Disputes go to the state or federal courts located in Colorado, unless the law where you live requires otherwise.

14. Changes and contact
